Terms and Conditions for Miba Bros

1. Acceptance of Terms
By accessing and using Miba Bros’ services, website, and digital platforms (collectively, “Services”), you accept and agree to be bound by these Terms and Conditions. If you disagree with any part, please discontinue use immediately.
2. Services Description
Miba Bros provides digital services including but not limited to:

Services are delivered remotely by our global team.
3. Client Responsibilities
You agree to:

Provide accurate project information and requirements.

Make timely payments as agreed.

Provide necessary feedback and approvals within reasonable timeframes.

Secure necessary rights for materials provided to Miba Bros.
4. Payment Terms & Refund Policy
4.1. Payment Structure

Deposit: A 50% non-refundable deposit is required before project commencement.

Balance: The final payment is due upon project completion and before the final transfer of source files.

Late Fees: Late payments may incur 1.5% monthly interest.

Scope Creep: Project scope changes requested by the client may affect final pricing.
4.2. Confidentiality of Transactions All contracts, invoices, and payment details are strictly confidential and personal to the client. We do not disclose financial arrangements or contract details to any third parties.
4.3. Money-Back Guarantee (Inspection Period) Miba Bros guarantees client satisfaction based on agreed scope.

Upon delivery of the project, the Client has a period of ten (10) working days to analyze, check, and test the project (“Inspection Period”).

If the deliverables do not meet the agreed-upon specifications, the Client must notify Miba Bros in writing within this period.

If Miba Bros cannot rectify the issue to meet the original scope, the Client is entitled to a refund of the project fees paid, excluding third-party costs (e.g., domain registration, server hosting costs, gas fees).
5. Intellectual Property & Content Security
5.1. Ownership Upon full payment, final deliverables belong to the Client. Miba Bros retains rights to reusable code libraries, development frameworks, and pre-existing tools used to build the project.
5.2. No Content Reuse Miba Bros strictly agrees not to reuse, edit, duplicate, or make copies of the Client’s proprietary content, images, data, or trade secrets for use in other projects, internal databases, or for any other clients. Your content remains your sole property.
5.3. Client Warranties The Client guarantees that all materials provided to Miba Bros do not infringe on any third-party rights.
6. Strict Privacy & White Labeling Policy
6.1. Zero-Showcase Policy Miba Bros operates with a strict “Silent Partner” protocol.

We will not showcase your project in our portfolio, case studies, social media, or marketing materials for any reason.

We will not claim public credit for your project unless explicitly requested by you in writing.
6.2. Brand Promotion While Miba Bros may assist in managing your project or promoting your brand as part of a Digital Marketing service, we will never associate the Miba Bros brand with yours publicly. All marketing efforts will be conducted under your brand identity (White Label).
6.3. Project Privacy We guarantee full privacy regarding project management. The details of who is building your project, the technology stack decisions, and internal communications remain strictly confidential.
7. Confidentiality
Both parties agree to protect confidential information and not disclose it to third parties without written consent. This obligation survives the termination of this agreement and project completion.
8. Project Timeline

Timelines are estimates and subject to client responsiveness.

Miba Bros is not liable for delays beyond reasonable control.

Delays caused by the Client (e.g., late content submission) may result in adjusted delivery schedules.
9. Revisions and Changes

Includes [2] rounds of revisions per project phase.

Additional changes outside the original scope are billed at standard hourly rates.

Major scope changes require a new agreement or addendum.
10. Termination

Either party may terminate with 30 days written notice.

Client pays for work completed up to the termination date.

Miba Bros may terminate immediately for non-payment or breach of terms.
11. Warranties and Liabilities

Services are provided “as is.”

Limitation of Liability: Miba Bros’ maximum liability is limited to the total project fees paid by the Client.

Miba Bros is not liable for indirect, incidental, or consequential damages (e.g., lost profits).

Emerging Tech Disclaimer: For Blockchain and AI projects, Miba Bros is not liable for issues inherent to the technology itself, such as blockchain network congestion, gas fee fluctuations, third-party AI model hallucinations, or regulatory changes affecting these sectors.
12. Non-Solicitation (Staff Protection)
During the term of this agreement and for a period of twelve (12) months thereafter, the Client agrees not to directly hire, solicit, or contract any employee or freelancer of Miba Bros who worked on the Client’s project.
13. Indemnification
The Client agrees to indemnify and hold Miba Bros harmless from any claims, lawsuits, or damages resulting from the use of the delivered products, including but not limited to copyright infringement claims arising from materials provided by the Client.
14. Third-Party Services
We may use third-party tools and services (e.g., hosting, APIs, payment gateways). Clients are subject to the respective terms and conditions of these third-party providers.
15. Force Majeure
Miba Bros is not liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, internet infrastructure failures, war, or government restrictions.
16. Remote Work & Communication

Primary communication is via digital channels (Email, Slack, WhatsApp, etc.).

Team members work from various global locations.

Clients receive dedicated project management access.
17. Data Protection
We implement high-standard security measures to protect your data. However, as services are remote, we cannot guarantee absolute security against sophisticated cyber-attacks beyond our control.
18. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved in the courts of Lagos State.
19. Severability
If any provision of this agreement is found to be invalid or unenforceable, the remainder of the agreement remains fully enforceable.
20. Entire Agreement
These terms constitute the complete agreement between the parties regarding Miba Bros services and supersede all prior agreements or understandings.
